Marquesa Search Systems Ltd Licence Agreement for MQ2000 Web Service (single-site networked licence).

Important - Read Carefully before using.

Web Service and Database Licence and Limited Warranty

This is a legal agreement between you, the customer, and Marquesa Search Systems Ltd. By using the Marquesa Web service you are agreeing to be bound by the terms of this agreement. If you do not agree to the terms of this agreement, please do not log into the service.

Grant of licence. Marquesa Search Systems Ltd. grants the customer the right to use the service at any number of workstations. There is no limit to the number of potential or actual concurrent users at any particular office, site or complex but where a customer has multiple offices, sites or complexes which are geographically separate (e.g. have different post codes) then an additional licence is required for each site where the service is to be used.

This licence may only be exercised during the period of the subscription (or renewal thereof) which you have elsewhere agreed with Marquesa Search Systems.

COPYRIGHT. The Web Service is owned by Marquesa Search Systems Limited or its suppliers and is protected by United Kingdom copyright laws, International treaty provisions, and all other applicable national laws. Any claim which may arise will be treated under English Law. Therefore you must treat the Web Service like any other copyrighted material (e.g. a book or musical recording). You may copy the service manual or written materials accompanying the Web Service for use by additional in-house users as required.

The databases are constructed by Marquesa Search Systems Ltd using data provided by:

• The United Kingdom Patent and Trade Mark Office (UK database)
• The United States of America Trade Marks and Patent Office US Federal database)
• The Office for Harmonization of the Internal Market (CTM database and CTM Designs database)
• The World Intellectual Property Organisation (International marks and Art6 ter))
• Schutz Marken Dienst (German Trade Marks)
• The Irish Patent Office (Irish Trade Marks)
• various EU sources, WHO and others (Reserved Words database)

together with data supplied by Marquesa Search Systems Ltd and data from other sources.

The databases are provided on the basis that they will be used only in conjunction with the Web Service supplied by Marquesa Search Systems Ltd and for the purpose of consultation and searching. The extracting and copying of all or parts of the data onto any media whatsoever other than for the purposes of producing search and enquiry reports is expressly forbidden.

Marquesa Search Systems Limited undertakes to update each database at a weekly frequency where the data is supplied to them at least weekly.

The data may not be rented, leased, re-sold, donated or otherwise disposed of.

PROPER USAGE. The Web Service runs in conjuction with Internet browser products such as Mirosoft's Internet Explorer and the Mozilla Foudation's Firefox and others. Users must be aware of the features and any constraints imposed by their Internet Browser and should take all necessary steps to ensure that they operate the Browser and the Web Service correctly.Users should not divulge their usernames and passwords to any person inside or outside their organisation.

LIMITED guarantee. Marquesa Search Systems Ltd guarantees that (a) the Web Service will perform substantially in accordance with the accompanying manuals and the integrated Help files and that the databases will contain accurate representations of the data supplied to them by the Patent Offices.

CUSTOMER REMEDIES Marquesa Search System Ltd's entire liability and your exclusive remedy shall be at Marquesa Search System's option the replacement of manuals and Help Files.

LAW . Both parties agree to the jurisdiction of English Law.

No other guarantees. Marquesa Search Systems Ltd disclaims all other guarantees, either express or implied, including but not limited to implied guarantees of merchantability and fitness for a particular purpose , with respect to the Web Service, the manual(s), and integrated Help materials. This limited guarantee gives you specific rights.

No liability for consequential damages. In no event shall Marquesa Search Systems Ltd. or its suppliers be liable for any other damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of the use of or inability to use this Marquesa Search Systems service, even if Marquesa Search Systems has been advised of the possibility of such damages. In any case, Marquesa Search Systems Ltd's entire liability under any provision of this agreement shall be limited to the amount actually paid by you for the service.
